Billed Once a Year Instead of Every Ninety Days

Paying in Installments Is a Preference, Not a Flaw

A business that would rather absorb four moderate charges than one larger one is making a reasonable cash flow decision, and a vendor offering that cadence is not doing anything wrong. The billing terms are printed. The service performs the duty Illinois defines. Plenty of customers are perfectly satisfied. If quarterly outflows suit the way you run the books, nobody here is going to try talking you into a different schedule.

Our objection is narrower than that, and it is about comparison shopping rather than ethics.

Convert to a Yearly Number Before You Compare

The rate is $149 for registered agent service, charged each quarter. Four of them inside twelve months comes to roughly $596. Nothing resembling a distinct opening discount turned up when we looked, so that annual figure describes the first year as well as every one after it.

Here is why the cadence distorts a decision even for someone who likes it. Every other rate on an Illinois comparison page is quoted by the year. Set $149 beside $125 and $99 and the eye files it somewhere near the middle of the range. Converted to a common unit it becomes the largest yearly outlay on the board, by a considerable distance, for a statutory duty that does not vary from one provider to the next. The number is public. The multiplication is left to you.

About $497 a year of daylight, for identical work. Expressed in Illinois terms, that difference would fund your $75 annual report six times over with enough left for the $25 change of agent filing.

One Invoice, One Figure

We charge $99 annually and that is the entire billing arrangement. There is nothing to prorate, nothing lands between terms, and the renewal notice repeats the figure from your original receipt. Papers served at our Illinois registered office are imaged and emailed before the day closes. Your filings display our Illinois street address. Alerts go out ahead of the anniversary-month report window. If ordinary business mail should be scanned too, that is $15 an item, stated here rather than found later.

From Swyft Filings to Us: The Illinois Paperwork

Illinois handles the handover with one short document, Form LLC-1.36/1.37, the statement that updates an agent or a registered office. It costs $25 and is processed by the Secretary of State's Limited Liability Division in Illinois. You supply the company name, who currently holds the seat along with that registered office, and who is taking it over. Several business days later the public record reflects it.

Two things to get right. Illinois requires the registered office you list to be the same street address the incoming agent uses as its own business location, which rules out a box number or a site with nobody present. And the appointment has to exist before the paperwork does, since the form records a substitution rather than a resignation. Keeping that sequence also keeps you clear of the state's $100 penalty for leaving the agent position unfilled for 60 days after an exiting agent gives notice, a charge aimed at gaps rather than at switching.

Once the record shows the new agent, cancel with Swyft. Whether you time that near a quarter boundary is a billing question between you and them, and it has no effect at all on the filing. The Illinois change of agent page has the form details.
