Illinois Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Illinois, you're considered a "foreign" entity in Illinois — and you'll need to register here through a process called foreign qualification. Illinois calls it admission, and a required step is naming an Illinois registered agent.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Illinois is a "foreign LLC" from Illinois's perspective. The same applies to corporations and other entity types.

Illinois says a foreign LLC must be admitted before it transacts business here, without defining the term. Section 45-47 of the LLC Act lists nine things that aren't transacting business by themselves, among them internal meetings, bank accounts, sales through independent contractors, mail orders accepted out of state, owning property with nothing more, a single transaction wrapped up within 120 days, and an Illinois resident serving as one of its members or managers. Anything more regular than that is a question for an Illinois attorney.

What an Illinois Registered Agent Does for a Foreign Entity

Your Illinois registered agent is the legal point of contact for your foreign entity in Illinois. The agent:

• Receives service of process if your business is sued in Illinois
• Receives every letter Springfield mails to your registered office
• Keeps an Illinois street address as that office (a P.O. box alone won't do)
• Lives in Illinois, or is an entity Illinois has cleared to act as an agent, and is never your own LLC

Waiting carries a real price in Illinois. An LLC that hasn't been admitted within 60 days of starting business owes a $2,000 penalty plus $100 for every additional month, or fraction of one, that it keeps going unadmitted, along with the fees it would have paid. Until admitted it can't file a civil suit in Illinois, although its contracts stay valid and it may defend itself.

How to Foreign-Qualify in Illinois

The general process for registering an out-of-state entity in Illinois:

1. Order a good standing certificate. Ask your home state for proof the company exists there; Illinois accepts it only if it was authenticated in the last 60 days.

2. Designate an Illinois registered agent. You can use a commercial registered agent service or appoint an individual who lives in Illinois.

3. Mail Form LLC-45.5 in duplicate ($150). The Application for Admission to Transact Business goes to the Department of Business Services in Springfield, in two copies, with a certified check, cashier's check, attorney's or C.P.A.'s check, or money order. There's no online filing for it. If your name isn't available here, you also file Form LLC-1.20 to adopt an assumed name. A $100 expedite exists, but only for requests made in person in Springfield or Chicago.

4. File an annual report every year. An admitted foreign LLC files the same $75 annual report as a domestic one, in the 60 days before the first day of the month your admission was filed. File late, and Illinois adds a $100 penalty.
